1. Acceptance of Terms

By accessing or using Eagle Info Services LLP's ("we", "us", or "our") website at eagleinfoservices.com or engaging with our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

2. Description of Services

Eagle Info Services LLP provides B2B outbound lead generation and sales development services, including but not limited to:

• Strategy development and ICP definition
• Data acquisition and enrichment
• Cold email outreach campaigns
• LinkedIn outreach and engagement
• Campaign optimization and reporting
• Lead qualification and appointment booking

3. Client Eligibility and Qualification

Our services are designed for B2B companies that meet certain criteria. We reserve the right to:

• Evaluate whether your business qualifies for our services
• Decline to provide services for any reason
• Require minimum revenue thresholds and deal size requirements
• Conduct a free test campaign before full engagement

4. Services Agreement and Pricing

4.1 Engagement Terms

Services are typically provided on a monthly retainer basis. Specific terms, including scope, deliverables, and pricing, will be outlined in a separate Service Agreement between Eagle Info Services LLP and your organization.

4.2 Investment Structure

Our services are structured as follows:

• Starting Investment: ₹3 lakh/month
• Typical Investment: ₹5-6 lakh/month
• Enterprise: ₹8+ lakh/month

4.3 Free Test Campaign

We may offer a free test campaign to qualified businesses. This is at our sole discretion and does not guarantee ongoing engagement. All deliverables and outcomes from test campaigns remain our intellectual property.

5. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your business and ICP
• Supply necessary materials, access, and approvals for campaign execution
• Provide feedback on leads and campaign performance
• Conduct follow-up on qualified leads in a timely manner
• Honor agreed-upon payment terms
• Maintain professionalism in all communications with prospects

6. Intellectual Property

6.1 Our Intellectual Property

All materials, templates, strategies, processes, methodologies, and systems developed by Eagle Info Services LLP during our engagement remain our intellectual property. This includes but is not limited to:

• Email copy and templates
• Outbound sequences and scripts
• Targeting criteria and ICP frameworks
• Reporting dashboards and methodologies
• Proprietary tools and software

6.2 Your Intellectual Property

You retain all rights to your brand, product information, customer data, and any proprietary business information you provide to us.

7. Data and Compliance

7.1 Data Usage

You authorize us to use prospect data for the purpose of executing campaigns on your behalf. You represent and warrant that you have legal rights to contact the prospects we target.

7.2 Compliance

We commit to conducting campaigns in compliance with applicable laws and regulations, including:

• India's DPDP Act 2023
• CAN-SPAM Act (for US-targeted campaigns)
• GDPR (for EU-targeted campaigns)
• Other applicable regional regulations

However, you are ultimately responsible for ensuring compliance of any communications with your prospects.

8. Performance and Results

8.1 No Guarantees

While we strive to deliver exceptional results, we cannot guarantee specific outcomes, including number of leads, meetings booked, or revenue generated. Outbound marketing results depend on numerous factors outside our control.

8.2 Metrics and Reporting

We will provide regular reporting on campaign metrics as outlined in your Service Agreement. These metrics are provided for informational purposes and do not constitute guaranteed outcomes.

9. Payment Terms

9.1 Invoicing

Payments are billed monthly in advance. Invoices are issued at the beginning of each billing cycle.

9.2 Payment Methods

We accept payment via bank transfer, UPI, and other agreed-upon methods. All payments are in Indian Rupees (INR).

9.3 Late Payments

Payments are due within 7 days of invoice receipt. Late payments may result in suspension of services until payment is received.

10. Term and Termination

10.1 Term

Service agreements typically have a minimum 3-month term. After the initial term, agreements continue on a month-to-month basis unless terminated with notice.

10.2 Termination by Client

You may terminate the agreement with 30 days written notice. No refunds will be provided for the current or prior billing periods.

10.3 Termination by Us

We may terminate the agreement with 30 days notice, or immediately if:

• You breach these Terms or the Service Agreement
• You engage in fraudulent or illegal activities
• Payment is not received within 14 days of due date
• Your conduct damages our reputation

11. Limitation of Liability

To the maximum extent permitted by law, Eagle Info Services LLP shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Damages exceeding the total fees paid by you in the preceding 3 months

12. Indemnification

You agree to indemnify and hold harmless Eagle Info Services LLP, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of our services
• Your breach of these Terms
• Your communications with prospects or customers
• Any violation of applicable laws or regulations

13. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information received during the course of engagement. This obligation survives termination of the agreement.

14. Force Majeure

We are not responsible for delays or failures to perform due to circumstances beyond our reasonable control, including natural disasters, wars, strikes, government actions, or internet service interruptions.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Modified" date. Continued use of services constitutes acceptance of modified Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising under these Terms shall be resolved in the courts of Agra, Uttar Pradesh, India.

17. Entire Agreement

These Terms, together with the applicable Service Agreement and Privacy Policy, constitute the entire agreement between you and Eagle Info Services LLP regarding the use of our services.
